We were engaged by a biotech company holding a preclinical-stage candidate substance to represent it in technology transfer contract negotiations with an overseas pharmaceutical company. The draft proposed by the counterparty featured a low upfront payment proportion and milestone conditions misaligned with the clinical development timeline.

Rion converted the contract's economic value not by total payment amount but by the actual likelihood of achieving each milestone, and compared the two on that basis. As a result, we found that two of the contingent payment items were, in effect, designed to be nearly unreachable, and the development obligation clause left room for the counterparty to avoid returning the rights even if it discontinued development.

In the negotiations, instead of raising the upfront payment, we changed the reference point for milestones to the date of clinical approval and added a clause providing for automatic reversion of rights if there was no development progress within a set period. The final contract was similar to the draft in terms of total amount, but was significantly improved in terms of the actual likelihood of receiving payment.

In technology transfer contracts, the center of gravity in negotiation is not the amount but the conditions. What matters most to the substance of the contract is which events trigger payment, and what is returned when development stops.
