Rion Publishes M&A Practical Handbook

Rion's Corporate & M&A team has published a practical handbook. It is structured so that practitioners at companies preparing for their first transaction can follow it step by step.

Part 1 covers the deal preparation stage. It addresses which wording at the non-disclosure agreement and letter of intent stages later leads to disputes over binding effect, and how to define the scope of due diligence.

Part 2 covers the contracting stage. It explains the scope of representations and warranties, limits on indemnification, and how to design conditions precedent, together with sample clauses.

Part 3 covers the post-closing period. It sets out HR and contract succession issues that frequently arise during post-acquisition integration, along with post-closing adjustment procedures. A summary of the handbook is available on the Rion website.
